Terms of use
Contents
1. Parties and scope
These terms are between the organization that opens an account on Cohie (the "Organization") and Fauna Venture Studio ("Fauna"), which provides the platform. They are accepted with a separate checkbox during organization sign-up; the person accepting declares that they are authorized to enter into agreements on behalf of the Organization. The time of acceptance, the version of the terms and the accepting account are recorded. Fauna's identity and contact details are on the Contact page.
Processing of personal data is governed separately by the Data Processing Agreement and the Privacy notice.
2. Service
Cohie is software that Fauna provides so organizations can run accelerator programs. It includes tools for applications, evaluation, training, mentoring, events and reporting.
3. Plans and quota
The service has a free plan. On the free plan, each Organization can have 2 programs open at the same time and keep 5 programs in the archive. If it needs more, it asks for a quota increase from the admin panel or at the address on the Contact page. Fauna reviews the request; any extra quota and its fee, if there is one, are agreed in writing between Fauna and the Organization. No fee arises without a written agreement. When the quota is full, new programs cannot be opened or archived; open programs, archived programs and data are not affected.
The Enterprise plan is offered under a separate agreement. Enterprise features, quota, fee and term are set out in that agreement. When the Enterprise plan ends, Enterprise features are switched off and the free plan's quota applies; data is not deleted. Every change to the plan (plan, dates, quota) is made by a platform administrator and written to the organization's audit log.
If Fauna changes the scope of the free plan, it notifies the Organization by email at least 30 days in advance. During that period existing programs keep running and data can be exported.
4. Organization responsibilities
- The Organization is the data controller for its program data. It sets the privacy notice, consent items and retention periods and presents them to applicants.
- The Organization uses the platform in line with applicable law and asks applicants only for data it needs.
- The Organization is responsible for the actions of its admins and of the people it invites (jurors, mentors, trainers) on the platform.
- Account holders are responsible for keeping their login details safe. An account holder who suspects unauthorized use changes the password and tells Fauna.
- The Organization is responsible for its content (program texts, form questions, announcements, files) being lawful. Rights in the content stay with the Organization; Fauna processes it only to provide the service.
5. Prohibited use
The platform may not be used for misleading program announcements, fake application forms that collect personal data, distributing malicious files, attempts to access other organizations' data without authorization, or anything that disrupts the service. In that case Fauna may suspend the Organization (section 8).
6. Service level
The service is provided "as is". Fauna takes reasonable care to keep it running and announces planned maintenance in advance. No specific uptime or response time is promised.
7. Limitation of liability
Liabilities that cannot be limited by law (including intent and gross negligence) are preserved. Otherwise Fauna's liability arising from the service is limited to direct and proven damage; Fauna is not liable for lost profit, loss of reputation or indirect damage. The limit is the fee the Organization paid to Fauna in the 12 months before the event; the free service carries no fee, so the limit is zero.
The Organization is responsible for exporting its data regularly. Fauna's liability for data loss is subject to the limits of this section and to the Data Processing Agreement.
8. Term, suspension and termination
These terms start at sign-up and continue indefinitely.
- The Organization can end them at any time by deleting its account and data. Exporting data before deletion is the Organization's responsibility.
- If Fauna learns of a breach of section 5, it first warns the Organization by email and gives it 14 days. For serious or repeated breaches, or at the request of a public authority, Fauna may suspend the Organization immediately. A suspended Organization's subdomain and logins are closed; data is not deleted.
- If Fauna decides to discontinue the service, it notifies the Organization at least 60 days in advance and lets it export its data during that time.
- After termination, data is returned and deleted within the periods in the Data Processing Agreement.
9. Changes
Fauna may change these terms. Material changes are notified by email to the Organization's owners and admins at least 30 days in advance; the current text and version date are on this page. An Organization that does not accept a change can delete its account before the effective date. Continuing to use the platform after the effective date means accepting the new terms.
10. Governing law and jurisdiction
These terms are governed by the laws of the Republic of Türkiye. The courts and enforcement offices where Fauna's registered head office is located have jurisdiction over disputes. Mandatory jurisdiction rules of consumer law are preserved for use as a consumer.
